Terms and Conditions

These Terms and Conditions (“Agreement”) govern the services provided by Esdras & Eitan Consulting, a consulting business registered in Ireland, with its registered office at 20 Harcourt Street, Dublin 2, Ireland, to clients (“you” or “your”). By engaging with our services, you agree to these terms.

1. Scope of Services

We offer consulting services, including, but not limited to:

• Business analysis and strategic planning

• Cost control solutions

• Financial performance reviews

• Business improvement recommendations

• M&A and private equity

Details of specific services will be outlined in your Service Agreement or Proposal.

2. Engagement and Fees

• A written proposal will outline the scope, duration, and cost of services.

• Fees are payable according to the schedule in the proposal or invoice.

• Consultations start from €200, and larger projects may begin from €5,000, subject to scope.

• Payment is due within 2 days of the invoice unless otherwise agreed in writing.

3. Confidentiality

We will treat all client information as confidential and will not disclose it to third parties without your prior written consent, unless required by law.

4. Client Responsibilities

You agree to:

• Provide accurate and timely information required to carry out our services.

• Respond to requests and feedback promptly.

• Ensure your internal team cooperates as needed during the consultancy period.

5. Intellectual Property

All materials, reports, and strategies produced by us remain our intellectual property unless explicitly transferred in writing. Clients may use them only for internal purposes.

6. Limitation of Liability

Our total liability shall not exceed the total amount paid for the services rendered. We are not liable for any indirect, incidental, or consequential damages arising from your use of our advice.

7. Termination

Either party may terminate this agreement with 30 days’ written notice. Upon termination, you are responsible for payment of all services rendered up to the termination date.

8. Governing Law

This Agreement shall be governed by and construed under the laws of Ireland. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Ireland.

9. Amendments

We reserve the right to update these Terms and Conditions at any time. Any changes will be communicated in writing or posted on our website
